Independent Contractor & Confidentiality Agreement

It is agreed by and between KPI Retail Services and the applicant that his or her role in the relationship to KPI Retail Services will be that of an independent contractor. KPI Retail Services is not your employer and you are free to provide your services to other companies.

It is specifically clear and understood between KPI Retail Services and the applicant that said applicant will not be treated as an employee, but rather only as a contractor, the applicant is responsible for paying both estimated income and self-employment related tax.

It is specifically clear and understood that you are not covered by KPI Retail Services Workers Compensation insurance, and you would be required to obtain your own health insurance coverage. You agree to indemnify and hold harmless KPI Retail Services from acts on your behalf, which might give rise to any lawsuits or claims against KPI Retail Services.

Neither KPI Retail Services nor its insurance carriers shall have any responsibility or liability for any damage, injury or death involving an accident by you, and advises appropriate insurance coverage on your own vehicle.
It is the responsibility of each contractor to operate in a completely independent status. You are free to perform the shopping assignments on your own schedule, as long as it does not interfere with the requirements of the assignment.

It is specifically clear and understood that you will be responsible for your own costs incurred in completing agreed assignments and will be remunerated at the agreed rate set for each assignment plus reimbursements for purchases made to complete said assignments where previously advised.

It is specifically clear and understood that all client information, including the names of our clients, is extremely confidential. Any disclosure of client information, for the duration of and subsequent to your relationship with KPI Retail Services, shall be dealt with decisively and through subsequent legal channels. A contractor may refuse any business that is offered him or her.
